Issue and allotment of Shares and Total Voting Rights

Darktrace announces the issue and allotment of shares pursuant to the exercise of options granted under the Amended and Restated Rules of the Darktrace Limited 2013 Company Discretionary Share Option Scheme 2013 and vesting of certain other awards. Darktrace has issued and allotted an aggregate of 36,360 new ordinary shares of £0.01 each in Darktrace (the "New Shares"). An application has been made for the New Shares to be admitted to the Premium Listing Segment of the Official List of the Financial Conduct Authority and to trading on the Main Market of the London Stock Exchange.

The New Shares will rank pari passu in all respects with Darktrace's existing ordinary shares of £0.01 nominal value each ("Ordinary Shares"). It is expected that admission will become effective on 24 May 2023.

As a result of the 36,360 New Shares issued, the total number of Ordinary Shares outstanding as at 24 May will be 708,743,735. Each Ordinary Share carries the right to one vote. Darktrace has 3,458,931 Ordinary Shares as treasury shares with no voting rights. Therefore as at the close of business on 24 May 2022 the total voting rights figure of 705,284,804 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Darktrace under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules
