Vesting of Conditional Awards and Total Voting Rights

Darktrace announces the vesting of Conditional Awards granted under its Darktrace plc 2021 Award Incentive Plan to certain employees. The Company has therefore issued and allotted an aggregate of 6,776 new ordinary shares of 1 pence each in the Company (the "New Shares").

Darktrace has applied for the New Shares to be admitted to the Premium Listing Segment of the Official List of the Financial Conduct Authority and to trading on the main market of the London Stock Exchange PLC, and expects admission to occur on or around 12 August, 2021. The New Shares will rank pari passu in all respects with the Company's existing ordinary shares of 1 penny each ("Ordinary Shares").

As of 9th August, 2021 the Company had a total of 697,636,903 Ordinary Shares outstanding. Each Ordinary Share carries the right to one vote. The Company does not hold any shares in treasury. Therefore, the total voting rights figure of 697,636,903 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
